1. Who we are, and what this covers
These terms apply to you as a creator using UGC Moa. Separate terms apply to brands. By applying for early access, creating a creator account, or accepting a booking, you agree to them. If you do not agree, do not use the platform.
2. Eligibility and your account
You must be at least 18. You must give accurate information about yourself, your audience, and the accounts you control, and keep it current. You may have one account. You are responsible for activity under your account. We may refuse or close an account that misrepresents audience size, engagement, or identity.
3. How work is arranged
Brands post campaigns with a brief, deliverables, and a budget range. You apply and state your own rate. We do not set it or negotiate on your behalf. A booking exists only once a brand funds it. Applying is not a booking, and a brand does not have to select you.
4. How you get paid
Before you are asked to start, the brand's money is locked in escrow for your specific booking. You receive the full agreed amount. Our platform fee is charged to the brand on top of your fee and is never deducted from yours.
- Payment is released after you submit the content, the brand approves it, and the post is live.
- Payouts run through Stripe. You must complete Stripe's onboarding and identity checks before we can pay you. Until Stripe confirms that your account can receive payouts, we cannot release funds to you, however much work you have done.
- Stripe controls when the payout reaches your bank after we release it. We cannot override that timing.
- Funds released in error, or for a booking later reversed or charged back, may be recovered from you.
5. Deliverables, revisions and approval
Deliver what the brief specifies by the stated deadline. The brand reviews your work and may request changes. The platform does not currently cap the number of revision rounds. The brand must approve the work before payment is released.
6. If a booking is cancelled
A brand can cancel before release, and the locked funds return to the brand's wallet. If a booking is cancelled before you are paid, you will not be paid for work already produced, and you keep the rights to that work. Contact us if you believe a cancellation was made in bad faith.
7. Ownership and the licence you grant
You own what you create. On payment, you grant the brand a worldwide, perpetual, irrevocable licence to use, edit, and distribute the content in organic and paid media across any channel. You grant us a limited licence to display it on the platform and to show it as an example of work on the platform.
Read this clause carefully: perpetual paid-media rights are included in your fee and are not separately compensated. Price your rate accordingly.
8. Product, shipping and reimbursement
Campaigns handle products in one of three ways: the brand ships the product to you; you buy it from the brand's own store and are reimbursed; or you buy it on Amazon and are reimbursed. If you are asked to pay up front, you take that cost and the risk of recovering it. Reimbursement depends on the brand. Check the campaign before you accept.
9. Disclosure and platform rules
You must disclose paid partnerships as required by the law in your country. In the United States, this includes the FTC's endorsement guidelines. You must follow the rules of the platform where you post.
Some conduct a brand may request is prohibited by those platforms. In particular, Amazon prohibits reviews of products you received free or were reimbursed for. You are responsible for your own compliance. We will not ask you to breach a platform's rules. Tell us if a brand asks you to do so.
10. What you promise us
You promise that the content is your own work; that you have the rights to everything in it, including music, footage, trademarks, and anyone appearing in it; that it is truthful about the product; and that it does not infringe anyone's rights or break the law.
11. Referrals
If you refer someone, you may earn a commission on payouts released to them. Commission accrues for review and is paid to your wallet once approved. It may be withheld or reversed if the referral is self-dealing or fraudulent, or if the underlying payout is reversed.
12. Taxes
You are an independent contractor, not our employee or the brand's employee. You are responsible for your own taxes and any registration your country requires. Stripe may collect tax information from you and may report your earnings where required by law.
13. Confidentiality
Briefs, product information, and campaign details shared with you before public launch are confidential. Do not publish or share them outside the collaboration.
14. Suspension and termination
You may close your account at any time. Closing it does not cancel a funded booking already in progress. We may suspend or close an account for breaking these terms, misrepresentation, fraud, or repeatedly failing to deliver. If we suspend an account with funds owed for completed and approved work, we will still pay what is owed.
15. Disputes
If a booking goes wrong, contact us first at the address above and give us the booking reference. We will review what the platform records show and respond.
We are not a court and cannot compel a brand. Where we hold funds, our decision determines whether those funds are released or returned. Where we do not hold funds, including for a product you bought and were not reimbursed for, our ability to help is limited.
16. Our role, and its limits
We provide the platform and hold escrowed funds. We are not a party to your agreement with the brand, your agent, or your employer. We do not guarantee that a campaign will be available to you, that you will be selected, or any level of earnings. To the extent the law allows, our liability to you for any claim is limited to the fees we collected for the booking related to that claim.
17. Changes
We may change these terms. Material changes will be posted here with an updated effective date and, where we have your email, sent to you. Changes do not apply retroactively to bookings already funded.
18. Contact
Use the contact address in the details above.
